Why every business owner needs an exit plan from day one

Goughs Solicitors' Jonathan Carter-Lewis explains why business owners should plan their exit strategy from day one and how it can help avoid disputes and support future growth.

By Jonathan Carter-Lewis, Senior Associate, Corporate & Commercial Solicitor, Goughs Solicitors

At Goughs Solicitors, Jonathan Carter-Lewis advises business owners, entrepreneurs and companies on corporate and commercial matters, helping clients navigate day-to-day challenges, long-term planning and significant transactions.

Jonathan’s interest in law began during an internship in Hong Kong with a large conglomerate’s corporate and commercial team.

“That experience gave me my first real insight into what lawyers do,” he says. “I enjoyed problem solving and the challenge of tackling matters that aren’t straightforward. Law allows me to help clients while building strong professional relationships, which I find hugely rewarding.”

A key piece of advice Jonathan gives to all business owners is to consider their exit strategy from the outset.

“Have a clear exit plan from day one,” he explains. “It may feel counterintuitive when starting a new venture and naturally the plan will evolve. But setting a framework early, typically through a shareholders’ agreement, gives founders a clear horizon to work towards.

“It also ensures that when the time comes to sell or step away from the business, the process is clear and agreed, helping avoid costly disputes and making the business more attractive to buyers.”

Jonathan works with clients across a broad range of corporate and commercial matters, often supporting businesses through periods of growth, investment and change.

“No two clients are the same,” he says. “Every business has its own objectives and challenges. A big part of my role is understanding what clients are trying to achieve and finding practical, commercially focused solutions that help them get there.”

Jonathan is also passionate about embracing new technology in legal practice.

“Artificial intelligence is already becoming part of the daily workflow for lawyers, whether for research, document review or improving efficiency,” he says. “Like any tool, it works best to support your expertise rather than replace it. Learning how to use AI effectively before entering the profession can give aspiring lawyers a real advantage.”

As the legal profession continues to evolve, Jonathan believes that combining strong technical knowledge with practical commercial understanding remains key.

“Clients want advice that is clear, pragmatic and focused on outcomes,” he says. “The most rewarding part of the job is helping people solve problems and giving them the confidence to move forward with important business decisions.”
